Terms of Service

These Terms of Service ("Terms") govern your use of the FYXO platform, website, and services (collectively, the "Service") operated by Fyxo Limited, a private company limited by shares incorporated in Ireland (Companies Registration Office number 813642), with its registered office at 4 Kirkpatrick House, Spencer Dock, Dublin, D01 DY86, Ireland ("FYXO", "we", "us", or "our").
These Terms apply to users in the Republic of Ireland and the United Kingdom. By creating an account, clicking "I agree", or using the Service, you ("you", "User") agree to be bound by these Terms.
Please read these Terms carefully. They include important provisions limiting our liability, disclaiming warranties, allocating risk for AI-controlled actions to you, and requiring disputes to be resolved in Ireland.
1. Definitions
- Account — a user account on the Service.
- Connected Asset — any electric vehicle charger, battery, heat pump, solar inverter, smart plug, electric vehicle, cold-storage unit, robot, or other electrical device that you connect, link, or grant FYXO access to.
- Third-Party Provider — any provider of a device, API, integration, software, or service used together with FYXO, including (without limitation) Tesla, Ohme, myenergi, Easee, Wallbox, Shelly, Tapo, SwitchBot, Tuya, and the providers of any AI assistant connected via MCP.
- Channel Partner — an installer, electrician, electrical engineering firm, property manager, or other person or organisation that introduces you to FYXO or assists with installation.
2. Eligibility
You must be at least 18 years old and have legal capacity to enter into a contract. You must own, or be lawfully authorised to control, every Connected Asset you link to FYXO.
3. Account & Security
You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity that occurs through your Account, including activity initiated via OAuth-authorised AI assistants or other integrations you connect.
You agree to notify us promptly at kgma@fyxo.io if you suspect any unauthorised access.
4. Service Description
FYXO offers software that:
- monitors electricity market prices and your Connected Assets;
- generates schedules and recommendations to reduce your electricity costs;
- sends control signals (e.g. start/stop charging windows, target state-of-charge, power-limit instructions) to your Connected Assets, subject to your settings and our internal safety checks; and
- optionally exposes a Model Context Protocol (MCP) endpoint that allows third-party AI assistants to query and write to your account.
FYXO does not own, install, maintain, or physically operate any of your Connected Assets and does not sell electricity.
5. Plans, Pricing & Billing
Current plans and prices are listed at fyxo.io/pricing. Subscriptions auto-renew at the end of each billing period unless cancelled. We may change prices on 30 days' notice; existing paid subscribers keep their current price until the end of the then-current billing period.
Payments are processed by Stripe. By providing payment information, you authorise us and Stripe to charge the applicable fees. We do not store full card details.
Refunds are at our sole discretion. You may cancel at any time from the Portal; cancellation takes effect at the end of the current billing period.
6. Connected Assets — authorisation and your responsibilities
By linking a Connected Asset, you authorise FYXO to send control signals to that asset within the parameters you configure. You agree that:
- each Connected Asset is properly installed, maintained, certified, and insured by you or your installer;
- you will comply with all manufacturer instructions, warranties, building codes, and electrical regulations applicable to each Connected Asset;
- you are solely responsible for any safety devices (e.g. RCDs, fuses, thermal protection) and for the physical environment in which Connected Assets operate;
- you retain the ability to override or disconnect any Connected Asset directly and at any time using the manufacturer's own controls or the FYXO Portal;
- FYXO acts on the data reported by the Connected Asset and its Third-Party Provider — if that data is delayed, missing, or incorrect, our control signals may be suboptimal.
7. AI Assistant Integration (MCP)
FYXO optionally lets you connect AI assistants (e.g. Claude, Cursor) through OAuth. If you authorise an AI assistant, you understand and agree that:
- The AI assistant is operated by a Third-Party Provider, not by FYXO. FYXO does not control, train, supervise, or warrant the behaviour of any AI assistant.
- Outputs and decisions generated by an AI assistant are not FYXO's outputs or decisions. If an AI assistant causes loss, error, or unexpected behaviour, you must raise that issue with the relevant Third-Party Provider — FYXO is not liable for outputs of AI systems we do not operate.
- FYXO applies internal safety checks (rate-limits, geofence, sandbox validation, multi-agent conflict locks, audit logs) to write operations submitted via MCP. These checks reduce risk but do not eliminate it.
- You can revoke an AI assistant's access at any time from the Portal. Revocation takes effect immediately for new requests.
- You remain fully responsible for any action an AI assistant takes through your Account, including any cost, charging, or scheduling outcome that results from that action.
8. Channel Partners
Channel Partners may introduce you to FYXO, assist with installation, or refer your account for set-up. Channel Partners act independently of FYXO. We do not employ, control, supervise, or warrant the work of any Channel Partner.
Any contract or arrangement you enter into with a Channel Partner (including for installation, electrical work, property management, or commissioning of Connected Assets) is solely between you and that Channel Partner. FYXO is not a party to that arrangement and has no liability under it.
9. Acceptable use
You will not, and will not permit any third party to:
- use the Service in violation of any law, regulation, or third-party rights;
- reverse-engineer, decompile, or attempt to derive the source code of the Service (except to the limited extent permitted by mandatory law);
- resell, sublicense, or expose the Service to third parties without our written consent;
- send malicious code, attempt to bypass security controls, or interfere with other users;
- scrape, automate, or load the Service beyond rate limits;
- use the Service for assets that you do not own or are not lawfully authorised to control;
- use the Service to operate any safety-critical, life-supporting, medical, military, nuclear, aviation, or industrial process.
10. Disclaimers (no warranty)
To the maximum extent permitted by law:
- the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise;
- FYXO does not warrant that the Service will be uninterrupted, error-free, secure, or that any savings, cost reductions, or carbon savings will be achieved;
- any figures published on our website or dashboard (e.g. "20–40% savings") are estimates based on typical Irish and UK wholesale electricity price volatility and are not a guarantee of your individual outcome;
- FYXO does not warrant the accuracy, completeness, or timeliness of any data supplied by Third-Party Providers, electricity markets (including ENTSO-E), grid operators, weather services, or device manufacturers.
11. Limitation of liability
To the maximum extent permitted by law, FYXO, its directors, officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:
- loss of profit, revenue, business, contracts, anticipated savings, or expected energy cost reductions;
- damage to or loss of Connected Assets, batteries, vehicles, appliances, or any property;
- loss caused by failure of a Third-Party Provider, grid outage, supplier API failure, internet outage, force majeure, or AI assistant output;
- loss caused by your or your installer's configuration, wiring, firmware, or maintenance choices.
Our total aggregate liability arising out of or relating to the Service or these Terms (whether in contract, tort, statute, or otherwise) shall not exceed the greater of: (i) the total fees you paid to FYXO in the twelve (12) months preceding the event giving rise to the claim; or (ii) one hundred euros (€100).
Nothing in these Terms limits liability that cannot be limited under applicable law — including liability for death or personal injury caused by our negligence, for fraud, or for any statutory rights of consumers that cannot be excluded under Irish or UK consumer protection law.
12. Indemnification
You agree to indemnify and hold harmless FYXO, its directors, officers, employees, contractors, and affiliates from any claim, demand, loss, damage, cost, or expense (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms; (c) actions taken through your Account, including by AI assistants you authorised; (d) any Connected Asset you control or claim authority over; or (e) any contract or arrangement you have with a Channel Partner or Third-Party Provider.
13. Suspension and termination
We may suspend or terminate your Account, with or without notice, if you breach these Terms, present a security or safety risk, fail to pay fees, or use the Service in a way that we reasonably believe is unlawful or harmful. You may close your Account at any time from the Portal.
On termination, your right to use the Service ends. Provisions that by their nature should survive termination (including 10, 11, 12, 14, 16) will survive.
14. Force majeure
Neither party is liable for any delay or failure caused by events outside its reasonable control, including grid outages, supplier or carrier failures, third-party API outages, internet failures, cyber-attacks, government action, natural disasters, pandemics, or labour disputes.
15. Intellectual property
FYXO and its licensors own all right, title, and interest in the Service, including all software, designs, content, trademarks, logos, dispatch algorithms, and documentation. No rights are granted to you other than a limited, revocable, non-exclusive, non-transferable licence to use the Service in accordance with these Terms.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email to your Account email address or in-product, at least 14 days before they take effect (or such longer period as required by law). Your continued use of the Service after that notice period constitutes acceptance.
17. Governing law and jurisdiction
These Terms are governed by the laws of Ireland, without regard to its conflict-of-laws principles. Subject to mandatory consumer protections in your country of residence, the courts of Ireland shall have exclusive jurisdiction over any dispute. Consumers in the United Kingdom retain any non-excludable rights and remedies under UK consumer law.
18. Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver. These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and FYXO and supersede all prior agreements.
